1. Acceptance of Terms

By accessing or using the TrueAsset platform ("Platform"), including its website at trueasset.ai, APIs, intelligence feeds, and related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

2. Description of Service

TrueAsset is a market intelligence and governed verdict platform for digital assets. The Platform provides:

• Conviction-weighted investment signals based on multi-source data analysis
• Market regime detection and scoring engines
• On-chain valuation metrics and derivatives positioning data
• Portfolio risk analytics and performance tracking

The Platform is operated by TPWR Holdings ("Company", "we", "us").

3. Eligibility

The Platform is intended for sophisticated market participants, including institutional investors, qualified traders, family offices, and accredited individuals. By using the Platform, you represent that:

• You are at least 18 years of age (or the age of majority in your jurisdiction)
• You have sufficient knowledge and experience in financial and digital asset markets to evaluate the merits and risks of using our signals
• You are not prohibited by applicable law from accessing this type of service

4. Not Financial Advice

TrueAsset does not provide financial, investment, tax, or legal advice. The platform produces governed verdicts, scores, and analyses for operator review. They are informational outputs, not trade instructions, and do not constitute a recommendation to buy, sell, or hold any digital asset.

You are solely responsible for your own investment decisions. We strongly recommend that you conduct your own research and consult with qualified professionals before making any financial decisions.

5. No Guarantee of Performance

Past performance of signals, verdicts, or any analytics provided by the Platform does not guarantee future results. Digital asset markets are highly volatile and unpredictable. You acknowledge that:

• All investments carry risk of loss, including total loss of capital
• Signals may be inaccurate, delayed, or based on incomplete data
• Market conditions can change rapidly, rendering any analysis obsolete

6. Access and Accounts

Access to certain features of the Platform may require approval. We reserve the right to grant, deny, or revoke access at our sole discretion without obligation to provide a reason. You are responsible for maintaining the confidentiality of any access credentials provided to you.

7. Acceptable Use

You agree not to:

• Redistribute, resell, or sublicense Platform data, signals, or content without written authorization
• Reverse engineer, decompile, or attempt to extract source code from the Platform
• Use the Platform for any unlawful purpose or in violation of any applicable regulations
• Interfere with or disrupt the Platform's infrastructure, security, or operation
• Scrape, harvest, or systematically extract data beyond authorized API usage

8. Intellectual Property

All content, algorithms, scoring methodologies, signal architectures, trade names, and visual designs on the Platform are the exclusive property of TPWR Holdings or its licensors. Nothing in these Terms grants you any rights to our intellectual property beyond the limited right to use the Platform as intended.

9. Data Sources

The Platform aggregates data from multiple third-party providers. We do not guarantee the accuracy, completeness, or timeliness of third-party data. We are not responsible for errors or omissions in data provided by external sources.

10. Limitation of Liability

To the maximum extent permitted by law, TPWR Holdings, its officers, directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Platform, including but not limited to:

• Trading losses resulting from reliance on Platform signals or data
• Service interruptions, errors, or delays
• Unauthorized access to your account or data
• Any other matter relating to the Platform

11. Indemnification

You agree to indemnify, defend, and hold harmless TPWR Holdings from any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your use of the Platform or violation of these Terms.

12. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. Continued use of the Platform after modifications constitutes acceptance of the revised Terms.

13. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Mexican States. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Santiago de Querétaro, Querétaro, Mexico.
